Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website efrissimplified.com and the EFRIS integration middleware service provided by EFRIS Simplified ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

EFRIS Simplified provides a managed middleware service that connects your business systems to Uganda Revenue Authority's Electronic Fiscal Receipting and Invoicing Solution (EFRIS) API. The Service handles cryptographic key management, request signing, AES encryption, error handling, and dictionary synchronisation on your behalf so that you can issue EFRIS-compliant invoices by sending simple JSON requests to our API.

The Service acts as a technical intermediary only. All fiscal receipts, invoices, and tax obligations submitted through the Service remain legally and financially yours. EFRIS Simplified does not assume any tax liability on your behalf.

2. Eligibility

To use the Service, you must:

  • Be a VAT-registered taxpayer with a valid TIN issued by Uganda Revenue Authority, or be an authorised representative of such a taxpayer
  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts on behalf of any business you register within the Service

3. Account Registration

You must register an account to use the Service. You agree to provide accurate, complete, and current information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at ronaldngzgadro@gmail.com if you suspect unauthorised access to your account or any breach of your API keys or EFRIS credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Submit false, fraudulent, or fictitious invoices to URA's EFRIS system through the Service
  • Use the Service to evade tax obligations or assist any third party in doing so
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Use the Service in a way that could damage, disable, or impair our infrastructure or URA's EFRIS infrastructure
  • Share your API keys or account credentials with any unauthorised party
  • Resell or sublicense access to the Service without our prior written consent

5. EFRIS Compliance Responsibility

While EFRIS Simplified handles the technical complexity of EFRIS integration, you remain solely responsible for:

  • The accuracy of invoice data you submit through the Service (buyer TIN, line items, amounts, tax categories)
  • Ensuring your business is appropriately registered with URA and authorised to issue EFRIS invoices
  • Complying with all applicable Ugandan tax laws, URA regulations, and EFRIS operational requirements
  • Any penalties, fines, or assessments imposed by URA as a result of incorrect or fraudulent invoices submitted through the Service

6. Subscription and Payment

Access to the Service requires payment of the applicable subscription fee as displayed on our Pricing page. Fees are billed annually and are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to change our pricing with at least 30 days' notice to active subscribers. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

If your subscription lapses due to non-payment, your account will be suspended and API access will be revoked. Your data will be retained for 90 days, after which it may be permanently deleted.

7. Uptime and Service Availability

We target 99.9% API uptime but do not guarantee uninterrupted availability. Scheduled maintenance, force majeure events, and outages on URA's EFRIS infrastructure are outside our control and are excluded from uptime calculations.

We are not liable for any loss resulting from URA EFRIS downtime, changes to the EFRIS API protocol, or URA-imposed restrictions on your account.

8. Intellectual Property

The Service, including its software, design, documentation, and all related intellectual property, is owned by EFRIS Simplified. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your own business purposes.

You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited licence to process that data solely for the purpose of delivering the Service to you.

9. Confidentiality

Each party agrees to keep the other party's confidential information (including API keys, business data, and pricing terms) strictly confidential and not to disclose it to any third party without prior written consent, except as required by law.

10. Limitation of Liability

To the maximum extent permitted by Ugandan law, EFRIS Simplified's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees you paid to us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

We are specifically not liable for any URA penalties, fines, or tax assessments resulting from incorrect invoice data submitted by you through the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless EFRIS Simplified and its personnel from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any invoice data you submit; or (d) your violation of any applicable law or third-party right.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access immediately and without notice if you breach these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination (including Sections 8, 10, 11, and 14) shall survive.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
